ADAPT BY-LAWS

Article I - Name: The name of the organization is ADAPT, the Association for Development, Advancement, and Productivity through Technology Training.

Article II - Mission: ADAPT is an organization of training professionals in the greater Boston and eastern New England area involved in information technology. The organization promotes high quality, affordable training through knowledge sharing, professional development, networking, and informative monthly programs.

Article III - Membership: Membership is open to all information technology training and learning services professionals. There are two membership categories, individual and group (up to five members). Annual Dues are due in September.

Article IV - Quorum: Those members present at the monthly meeting represent a quorum.

Article V - Meetings: Monthly meetings will be held from September to May.

Article VI - Conference: The Information Technology Training Conference (ITTC) is jointly hosted with the Hartford Area Trainers (HAT) and held on an annual basis.

Article VII - Organization: The officers of ADAPT are President, Finance Director, Information Technology Training Conference Director, Program Director, Hosptitality Director, Membership Director, Newsletter Editor, Secretary, and Website Director. These offices are open to all members. Duties are described in the position description documents distributed to the membership prior to each May election and on this website.

Article VIII - Election of Officers & Appointed Committee Members: The election of officers occurs at the May meeting. The term of each office shall be one year, starting on July 1, except for the President, and Information Technology Training Conference Co-chairs, which are two-year terms. ITTC Co-Chairs will be elected in alternate years. No officer may hold the same office for more than two consecutive years.  All officers and committee members, both ADAPT and ITTC must be current in their ADAPT dues. Vacant ADAPT Board positions may be appointed by the President subject to approval by a simple majority vote OF the ADAPT Board at the next ADAPT Board meeting.

Article IX - Finances: All checks paid by ADAPT must be endorsed by the Finance Director. Expenses not previously authorized as part of an approved budget require board approval. In the case of an emergency, the president is authorized to act on behalf of the board. All payments, such as dues, must be made payable to ADAPT. Payments to ADAPT received by any members must be forwarded immediately to the Finance Director.

Article X - Changing the By-Laws: These bylaws may be changed by two-thirds vote of a quorum at any regular meeting. Changes may be proposed by anyone but must be announced in the newsletter prior to the meeting when the vote will take place.

Article XI - Non-Profit: ADAPT is not organized for profit and no part of its earnings shall be used to benefit any member or private individual. In the event of the liquidation of ADAPT, no member or private individual shall be entitled to any distribution or division of its assets remaining after payment of debts and obligations. Upon a majority vote of the members, donations of time or money may be made to charitable organizations for the purposes of furthering technology education.
